Environmental Management Solutions (EMS)
Environmental Management Solutions (EMS) was engaged in a “come from behind” proxy contest with a group of dissident shareholders as they attempted to gain control of EMS through the election of the Board of Directors Annual and Special Meeting.

Helix

Tree Island
Futura Corporation – Tree Island’s largest unitholder – unilaterally called for a special meeting of unitholders demanding the removal of five of Tree Island’s eight existing trustees.

Domtar
In preparation for its first annual meeting of stockholders in May 2008, Domtar Corporation undertook an in-depth review of its corporate
governance profile and decided to ask stockholders to approve a number of measures to enhance its corporate governance. These measures included replacing a classified board structure with annual election of directors and permitting the adoption of a majority vote standard for the election of
directors in uncontested elections.
